TERMS OF SERVICE

Version 1.0

This page explains how KIING DIGITAL LABS works in plain language. It is provided for information only and is not legal advice. It is written so it can be reviewed and finalised by the business owner and, if desired, legal counsel.

01

Acceptance of these Terms

These Terms of Service govern your use of the KIING DIGITAL LABS website, its product demonstrations, its enquiry and intake forms, and any digital products or services you obtain through it. By using the site or submitting a request, you agree to these Terms.

If you do not agree with them, please do not use the site or submit information through it.

Where you and KIING DIGITAL LABS sign a separate written agreement — a project agreement, licence, or acquisition agreement — that agreement controls anything it specifically covers, and these Terms cover the rest.

02

Eligibility

You must be able to form a binding contract to use this site to make a purchase, submit a project request, or submit an acquisition enquiry. If you are acting for a company or organisation, you confirm you are authorised to do so on its behalf.

The site is not intended for children, and we do not knowingly accept purchases or personal information from them.

03

What we do

KIING DIGITAL LABS is a digital product studio and software acquisition showroom. We independently design, build, polish, and package complete websites, web applications, and software products, and we publish them here so entrepreneurs and companies can evaluate them and request an acquisition. We also provide custom development services for clients who bring their own idea.

Depending on what is offered at the time, that can include:

  • Digital products such as software applications, websites, templates, and other digital assets
  • Software products packaged for licensing or transfer
  • Website and application demonstrations shown on this site
  • Product acquisitions, where an entire product is transferred to a new owner
  • Custom development services delivered under a project agreement

We may add, change, or withdraw any offering at any time.

04

Three different kinds of transaction

It matters which of these you are entering into, because what you receive is different in each case.

  • A. Buying a digital product, licence, or access. You receive the product or access described on the listing, on the terms stated there. This does not transfer ownership of the underlying intellectual property unless the listing or agreement says so.
  • B. Buying custom development services. We perform work for you under a project agreement that defines scope, fees, schedule, deliverables, and what rights pass to you on payment.
  • C. Acquiring a completed software product or the rights to it. An entire product, or defined rights in it, transfers to you under a separate written acquisition agreement.

Buying something from KIING DIGITAL LABS does not automatically transfer intellectual-property ownership. Ownership, licensing terms, source code, intellectual property, databases, domains, trademarks, customer data, accounts, credentials, and any other asset transfer only where the applicable purchase agreement or acquisition agreement specifically says they do.

05

Purchases, pricing, and payment

Prices are shown on the relevant product page or quoted to you directly, and are stated in the currency shown at the time. Prices, packages, and availability can change, and a price shown on the site is not an offer to sell at that price where it was displayed in error.

Custom development is quoted per project. Figures described as “starting at” are a starting point; final pricing depends on scope, functionality, integrations, infrastructure, and development requirements.

Payments may be processed by a third-party payment processor. Taxes, duties, and any fees charged by your bank or payment provider are your responsibility unless stated otherwise.

We may decline or cancel an order, including where we suspect fraud, an unauthorised transaction, a pricing error, or a use that conflicts with these Terms.

06

Product availability and digital delivery

Digital products are delivered electronically — typically by download link, granted account access, repository access, or a documented handover, as stated on the listing.

Delivery details, formats, and access method are described on the product page. If something we listed is not available after you have paid, we will tell you and arrange a refund for the undelivered item.

You are responsible for having the technical environment needed to use what you buy, including any third-party accounts, hosting, or services a product depends on.

07

Accounts and account security

Some areas — such as the client portal or an administrator area — require an account. Keep your credentials confidential, use a strong password, and tell us promptly if you believe your account has been accessed without your permission.

You are responsible for activity that happens under your account. We may suspend or close an account where we reasonably believe it is being misused.

08

Acceptable use and prohibited activities

Use the site and anything you obtain through it lawfully and in a way that does not harm others. You agree not to:

  • Attempt to gain unauthorised access to the site, a demo environment, an account, or any connected system
  • Probe, scan, overload, disrupt, or interfere with the site or its infrastructure
  • Copy, scrape, resell, sublicense, or redistribute our content or products except as your licence or agreement permits
  • Reverse engineer or attempt to extract source code except where a licence or agreement allows it or the law permits it
  • Upload malicious code, or use the site to send spam or to harass anyone
  • Misrepresent who you are, or submit false information through our forms
  • Use the site or a product for an unlawful purpose or to infringe anyone's rights

09

Intellectual property, copyright, and trademarks

The site, its design, text, graphics, code, product presentations, and brand assets are owned by KIING DIGITAL LABS or its licensors and are protected by intellectual-property laws.

The KIING DIGITAL LABS name, wordmark, logo, and product names are our marks. Nothing on the site grants you a right to use them without our written permission.

Where you buy a licence, your rights are only those the licence grants. Where you acquire a product, your rights are those the acquisition agreement grants. Everything not expressly granted is reserved.

If you believe content on this site infringes your rights, contact us with enough detail to identify the material and we will review it.

10

Third-party services and links

Our site and our products may rely on third-party services — for example hosting, databases, authentication, analytics, email delivery, AI services, or payment processing — and may link to sites we do not control.

We are not responsible for third-party services or sites, their content, their availability, or their terms. Your use of them is governed by their own terms and privacy policies, and you should review those.

11

Product demonstrations and preview environments

Demonstrations, live demos, and preview environments shown on this site are provided so you can see how a product functions. They may be reset, changed, limited, or withdrawn at any time, and they should not be used to store real, confidential, or sensitive data.

Demonstrations are intended to show functionality. They are not a guarantee of future performance, of continued availability, or of how a product will behave under your own conditions, data, or scale.

Where a demo opens an application operated separately, that application is subject to its own terms.

12

Software and technology limitations

Software contains errors, and services depend on networks, hosting, browsers, devices, and third-party providers that can change or fail. We do not warrant that a product or the site will be uninterrupted, error-free, secure from every threat, or compatible with every environment.

Features involving AI or automated generation produce output that can be inaccurate or incomplete and should be reviewed by a person before it is relied on.

13

No guarantee of business results

KIING DIGITAL LABS does not promise or guarantee revenue, profit, users, downloads, traffic, growth, funding, investment returns, valuation, or commercial success of any kind.

Any figures, examples, roadmaps, or opportunity descriptions are illustrative and are not a projection or a promise. What a product achieves depends on factors outside our control, including your own execution, market conditions, and the resources you apply.

14

Disclaimers

Except where a signed agreement says otherwise, the site, demonstrations, products, and services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

15

Limitation of liability

To the fullest extent permitted by law, KIING DIGITAL LABS and the people working with it are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunity, or business interruption, arising out of your use of the site, a demonstration, a product, or our services.

To the fullest extent permitted by law, our total liability for any claim relating to a purchase or service is limited to the amount you paid KIING DIGITAL LABS for the item or service giving rise to the claim.

Some jurisdictions do not allow these limits, so parts of this section may not apply to you.

16

Indemnification

You agree to indemnify and hold harmless KIING DIGITAL LABS against claims, losses, and reasonable costs arising from your misuse of the site or a product, your breach of these Terms, your violation of law, or your infringement of a third party's rights.

17

Dispute resolution

If something goes wrong, contact us first. Most issues are resolved quickly and informally, and we ask that you give us a reasonable opportunity to do so before starting formal proceedings.

The governing law and venue for these Terms are to be confirmed by the business owner and will be stated here once finalised. Until then, nothing in this section waives any right either party has under the law that applies to them.

18

Changes to these Terms

We may update these Terms as the studio and its offerings change. The updated version applies from the date it is posted, and the effective and last-updated dates at the top of this page will reflect that.

Material changes will not apply retroactively to a transaction already completed under a signed agreement.

19

Termination

We may suspend or end your access to the site, an account, or a demo environment if these Terms are breached or if access is being misused. You can stop using the site at any time.

Sections that by their nature should survive — intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — continue to apply after access ends.

20

Severability and entire agreement

If a provision of these Terms is found unenforceable, the rest stays in force and that provision is applied to the maximum extent permitted.

These Terms, together with the Privacy Policy, the Refund & Return Policy, and any signed agreement between you and KIING DIGITAL LABS, are the entire agreement on their subject matter and replace earlier discussions about it.

A delay in enforcing a provision is not a waiver of it. You may not assign your rights under these Terms without our written consent.

21
